Alyssa Hochberg Fontaine
Associate

Ms. Fontaine is an associate of the firm.  She practices in the Corporate Practice Group with a focus on mergers and acquisitions, securities law, and institutional and mezzanine lending.  Ms. Fontaine’s mergers and acquisitions experience includes working with clients to identify appropriate deal structures, as well as advising, or negotiating on behalf of, clients at every step of the deal process.  Ms. Fontaine has worked on large, public company mergers, as well as smaller acquisitions by and of private companies.  In the securities area, Ms. Fontaine drafts and reviews various Securities and Exchange Commission filings, including proxy statements, annual reports (10-K), current reports (8-K), and tender offers for large public companies. 

Ms. Fontaine also assists public company clients with ongoing securities law compliance matters.  As an associate on the Financial Institutions and Capital Markets Industry Team, she serves as transaction counsel for lenders and investors, and has also worked with mezzanine investors to develop customized debt and equity instruments.  Ms. Fontaine also assists financial institutions in banking law compliance.  In the area of general corporate law, Ms. Fontaine structures recapitalizations and entity formation, and drafts operating agreements, by-laws, and contractual agreements for private companies.  She also serves on the Automotive and Vehicles Industry Team. 

Previously, Ms. Fontaine was a law clerk in the United States Attorneys Office for the Northern District of New York.  She also served as a summer clerk for the Honorable Berle M. Schiller, United States District Judge, Eastern District of Pennsylvania.

Professional & Community Activities

Ms. Fontaine is a member of the Board of Directors of the Tompkins County Society for the Prevention of Cruelty to Animals (SPCA of Tompkins County), and she is also a member of the Brown Alumni Schools Committee.  As a committee member, she interviews prospective students for admission to Brown University.
