Mr. Marshall is a member of the firm and practices in Tax Law, Corporate, Public Finance and Economic Development, Commercial Real Estate, and Life and Asset Planning Practice Groups and serves on the Real Estate Developers Industry Team.
Tax Credit and Development Practice:
New Markets Tax Credit
Mr. Marshall is actively engaged in representing economic development agencies, redevelopment authorities, investors, tax exempt economic development organizations and national and regional development firms in various states under the New Markets Tax Credit Program, which provides federal income tax credits for investment in business and real estate development projects in eligible low-income communities. Among other services under this program, Mr. Marshall structures and closes transactions under this program in compliance with strict program requirements. Representative New Markets Tax Credit work includes:
- Certification of community development entities (CDE);
- Application for new markets tax credit allocation;
- NMTC compliance and sales training programs;
- Representation of CDE allocatees holding new market tax credit authority;
- Closed hundreds of million dollars of qualified equity investment transactions;
- Closed new market loan transactions whose project costs exceed $500 million which resulted in retail, healthcare, office, higher education, manufacturing, warehousing and community project developments in various states.
Historic and Low Income Tax Credits
In addition to his New Markets Tax Credit syndication practice, Mr. Marshall is experienced in syndicating and closing rehabilitation tax credit and low income housing tax credits enhanced transactions, the most recent being projects located in Pennsylvania and New York.
Tax Exempt and Tax Subsidized Bond Financing
For his real estate developer and tax exempt economic development clients, Mr. Marshall counsels on the acquisition, development, financing and leasing of properties, with a particular emphasis on economic development incentives and tax-favored financing arrangements. Some representative deals include:
- Student housing for Rensselaer Polytechnic Institute;
- Yankee Stadium multiple parking garage developments supporting the newly constructed Yankee Stadium;
- Public facility developments, such as municipal parking garages, health care facilities and affordable housing projects;
- Convention center hotel developments in New York, Pennsylvania and Florida.
HUD Section 108 and SBA 504 Loan Programs
Mr. Marshall represents municipal and county agencies in connection with their HUD Section 108 loan programs in New York and Florida, as well as SBA certified community development corporations in connection with their SBA 504 loan programs in New York and Pennsylvania. Mr. Marshall also applies this experience on behalf of his corporate clients, with his largest HUD Section 108 closed on behalf of a multi-state retail firm in the amount of $46 million.
General Corporate and Planning Practice:
In connection with Mr. Marshall's representation of his closely-held corporate, and individual clients, he provides services in all phases of business and tax planning, including the tax structure and closing of merger and acquisition transactions, corporate reorganizations, tax-exempt entities, and general operational and individual tax planning. He also implements domestic international sales corporation (DISC) strategies for his clients with export operations. Mr. Marshall is also experienced in life and asset planning, with a particular emphasis on business succession planning, business gift planning, and planning with family limited partnerships and limited liability companies. Mr. Marshall represents small, medium, and large business entities in various industry groups and provides advice and guidance in all aspects of their activities, including business planning, capital formation and ongoing operations.
Professional & Community Activities
Mr. Marshall is a Certified Public Accountant, licensed in New Yorksince 1984 and was an adjunct professor of Tax Law (LLM program) at Syracuse University College of Law from 1993-1996. He is a member of the New York State and Onondaga County Bar Associations. Mr. Marshall is a member of the Estate Planning Council of Central New York, and a member of CenterState Corporation for Economic Opportunity. Mr. Marshall lends his time and expertise in local economic development initiatives on behalf of charities and associations. He is a Chair of the Board of Directors of Home Aides of Central New York, Inc., and Chairs its Executive Committee. Mr. Marshall is actively engaged with Say Yes to Education, Inc. (Say Yes) as its Legal Support Task Force Chair.
