Mr. Clar is a member of the firm and leader of the Corporate Practice Group and serves on the Nanotechnology Industry Team.  He focuses his legal practice on corporate and commercial law, including mergers and acquisitions, business planning, licensing and distribution, private financing transactions, software contracts, and general corporate matters.

Mr. Clar represents individual entrepreneurs and start-up companies, as well as established, growing and mature businesses, with an emphasis on providing advice and guidance to closely-held corporations in all aspects of corporate and business planning matters, including organizational and ongoing operations, change of control transactions, capital planning and financing, ownership issues, distribution, licensing, franchising, and general contractual matters.  Mr. Clar provides corporate representation and business advice for the clinical laboratory subsidiary of a not-for-profit health organization and the manufacturer and distributor of a medical device in the U. S. and foreign jurisdictions.  He also serves as primary counsel for the insurance agency subsidiary of a publicly-held bank holding company, and regularly serves as transactional counsel for buyers and sellers of closely-held corporations.

• Representation of the seller of a user generated content-based web site to a NASDAQ-listed company.
• Representation of a digital media company in its acquisitions of multiple on-line technology companies and websites.
• Representation of the owner of a specialty railcar and oversized cargo transporting business.
• Representation of the founder of various fantasy sports ventures in multiple purchase and sale transactions.
• Representation of the purchaser of a manufacturer and distributor of multiple valve and valve automation products.
• Representation of a provider of various broadband Internet services to multiple-dwelling units in a series of financing, acquisition, and sale transactions.
