David M. Mehalick

Mr. Mehalick is a member of the firm and leader of the Employee Benefits Practice Group.  He practices in the Corporate, Tax Law and Life and Asset Planning Practice Groups, and the Health Care Industry Team.  Selected as one of the Best Lawyers in America, Mr. Mehalick focuses his practice in the areas of corporate transactions, life and asset planning, wealth preservation, and business and personal tax planning. He has experience in the area of employee benefits issues, including ERISA compliance and qualified and nonqualified plans.

Mr. Mehalick’s representative recent transactions include:

• Represented a publicly traded company in the redemption of $85 million of its securities;
• Represented a manufacturing company in an $80 million asset sale transaction, involving five facilities in three states;
• Represented a domestic corporation in the stock sale of its foreign subsidiary, and the negotiation of ongoing contractual relationships with the buying entity;
• Represented a manufacturer in the acquisition of 100% of the stock of a closely held, competitive business for $70 million.

Mr. Mehalick was a member of the firm for ten years prior to assuming the role of vice president and general counsel of Agrilink Foods, Inc. in Rochester, New York in 1999. He held that position for three years prior to rejoining Harris Beach in October 2002.
