Joseph S. Anile, II
Of Counsel
Mr. Anile is of counsel to the firm and a member of the Financial Institutions and Capital Markets Industry Team and the Commercial Real Estate Practice Group. He advises brokers-dealers, investment advisers, banks, asset managers and other financial institutions and related individuals with respect to corporate matters, transactions, product development and sales, compliance, and regulatory issues. Prior to joining Harris Beach, Mr. Anile was the founding partner and chief executive officer of Anile & Associates in New York City. He served as the lead corporate group attorney advising clients in the areas of business law, capital markets, corporate finance and securities, transactions, investment banking, financial product development, sales and trading services for retail and institutional platforms, and alternative investment management products. He managed or participated in transactions ranging from start-up ventures to special services and products, advised asset managers representing a broad range of strategies and geographic marketing having an aggregate of $100 billion assets under management, and served as general counsel and compliance manager, managing director and a principal of a general partnership of various limited partnership funds. Mr. Anile was responsible for the day-to-day operations in the offering of interests in funds managed by prominent advisors, as well as a partnership with a hedge fund of funds manager. He structured and drafted all documents and agreements, including broker-dealer and registered investment advisor applications and related documents and interfaced with fund clients and regulators. He provided structuring assistance and the preparation of documents and filings in connection with the private and public offering of securities. Mr. Anile advised clients with respect to corporate, operation and strategic matters, including internal controls, new businesses and products, risk management, anti-money laundering, record retention, disclosure, conflicts of interest, reductions in force, acquisitions, and consolidations. Mr. Anile began his legal career in the Securities, Commodities and Finance Department of a New York City law firm.
Professional & Community Activities
Mr. Anile has devoted significant time and effort to the advancement of biomedical research in the fields of experimental cardiology, molecular biology and genetics through his work as General Counsel and Director of NY Masonic Charitable Media Inc. and its support of the Masonic Medical Research Laboratory. Mr. Anile published the article, “U. S. Banking Regulation and Deregulation: A View of Geographic Expansion,” 6 N.Y.U. Econ. Rev. 33 (1987), and co-authored the article, “Financial Innovation and Uncertain Regulation: Selected Issues Regarding New Product Development, 69 Texas Law Rev. 1431 at 1501 (1991).
