Mr. Malgieri is a member of the firm and co-leader of the Municipalities and Quasi-Governmental Agencies Industry Team. He practices in the Commercial Real Estate and Public Finance and Economic Development Practice Groups, and the Financial Institutions and Capital Markets and Real Estate Developers Industry Teams. Mr. Malgieri’s practice focuses in the area of commercial real estate and real estate finance, representing a host of real estate developers, investors and commercial lending institutions. He has also represented a number of lending institutions and borrowers in connection with secured and unsecured commercial loans. Since 1983, he has been engaged in public finance practice as bond counsel, underwriter’s and private placement agent’s counsel, letter of credit issuer’s counsel, trustee’s counsel and special transaction counsel. He has been listed in the “Red Book” of nationally-recognized bond counsel for over 20 years. Mr. Malgieri has a strong background in New York municipal law as well, serving as counsel and special counsel to several localities and authorities. Mr. Malgieri is listed as one of the Best Lawyers in America for his work in Banking Law.
His representative matters include:
- Represented borrower in connection with $80 million financing of corporate acquisition and working capital requirements.
- Represented real estate developer in acquisition of multi-million dollar acquisition of apartment complexes.
- Represented developer in financing of several student housing complexes.
- Represented hotel developer in several acquisitions of multiple hotel properties throughout the northeast and southeast United States.
- Represented municipality in creation of tourism and resort redevelopment zoning district in connection with redevelopment of regional shopping mall.
- Represented municipality in connection with negotiation of payment in-lieu-of tax agreement and "PILOT Increment" financing of regional shopping mall.
- Represent several commercial banking institutions in connection with secured and unsecured corporate finance transactions, including participation and syndicated transactions.
- Represented syndicate group of lending institutions in acquisition of bank-qualified tax-exempt bonds financing the construction of student housing facility.
- Represented undergraduate liberal arts college in the issuance of tax-exempt multi-modal variable rate bonds.
- Represented letter of credit issuers in connection with numerous taxable and tax-exempt bonds.
- Served as bond counsel to several municipalities in connection with their issuance of tax exempt general obligation notes and bonds.
Professional & Community Activities
Mr. Malgieri is a member of the New York State and Monroe County Bar Associations, the National Association of Bond Lawyers, and the New York State Government Finance Officers’ Association. He serves on the board of directors for the Urban League of Greater Rochester, the Urban League of Greater Rochester Economic Development Corporation, and Corn Hill Navigation. Mr. Malgieri is president of the Rochester Historical Society and a member of the advisory board and past president of the Center for Youth Services. He is the former town attorney for the town of Irondequoit.
