  • Counsel on handling tax, finance, structural, environmental, immigration, ERISA, securities, labor relations and real estate matters associated with acquisitions and divestitures
  • Work with buyers, sellers, financial sources and parties to joint ventures and strategic alliances in structuring transactions, protecting our clients’ interests, and identifying capital, partners, and advisors
  • Represent our clients in all phases of a merger, sale or acquisition transaction, from the negotiation of a letter of intent through the due diligence process, contract negotiation and drafting, closing, and post-closing issues, including indemnification claims, deferred purchase price payments, transition services and earnouts.

Securities Law

  • Advise on compliance for federal and state regulatory requirements and reporting under federal and state securities laws
  • Identify and address securities law issues in acquisitions, joint ventures, financings and other business transactions
  • Assist with registration of securities with the SEC; mergers and acquisitions involving public company constituents; compliance with listing requirements and stock exchange rules; preparation, review and filing of current and periodic reports under the ’34 Act; Section 16 issues and filings; compliance with the proxy rules for annual and special meetings of stockholders; and insider trading policies

Tax Dispute Resolution

 Financial/Capital Markets

  • Represented a publicly-traded financial institution in its acquisition of a publicly-traded bank holding company in an all-stock transaction valued at over $100 million.
  • Representation of a government public-benefit corporation in establishing a $3 billion emergency line of credit from a syndicate of leading investment banking firms.
  • Counseled lenders, developers and project sponsors in large-scale infrastructure projects in the Philippines, India, Colombia and Texas.

Food/Beverage/Agriculture

  • Counsel publicly-traded company in the food and beverage industry in connection with general corporate matters. Draft and negotiate distribution agreements for distribution partners, supplier agreements for raw materials, licensing and manufacturing agreements, product development agreements, and marketing agreements.
  • Represented a large wholesale and import company in all aspects of its business, including the purchase of multiple supermarkets.
  • Represented a food manufacturer in a $300 million financing, including term loan, revolver and new markets tax credit financing.

Health Care

  • As outside general counsel for Athenex (previously Kinex), handled a $1.62 billion investment in a drug discovery and advanced manufacturing partnership. New York State invested $225 million to support the medical innovation and commercialization hub and help create new opportunities for the region. This project, made possible by a partnership with the SUNY Polytechnic Institute, included a major expansion of Athenex’s North American headquarters as well as the creation of a state-of-the-art, 300,000 square foot manufacturing facility. Also counseled Kinex on the preparation of FDA approvals for oncology products.
  • Advised Faxton-St. Luke’s Healthcare and St. Elizabeth Medical Center in the structuring of a Catholic/secular affiliation under a common active parent, including negotiating a unique and creative settlement with the Attorney General to address significant antitrust concerns raised as a result of the consolidation of the only two hospitals in Utica, New York.

Manufacturing/ Industrial/Mining

  • Represented public company in multi-million dollar acquisitions of manufacturing facilities throughout the United States.

Project Development/Environmental/Energy

  • Represented an electric generating company in connection with a transaction in which it offered to exchange existing notes for new notes. In addition, the transaction included a consent solicitation to amend the Indenture governing the issuance of the notes to allow for a distribution to its shareholders. Represented the client in all facets of this transaction and prepared all of the consent solicitation documents, notes and amendments to existing documents. The exchange offer related to approximately $93,000,000 of existing notes and the distribution was in the amount of approximately $7,500,000.

Real Estate/Project Development

  • Represented not-for-profit organization in connection with the sale of a senior housing facility.  Coordinated various federal and state regulatory approvals for the prepayment of the existing HUD loans.  Obtained approvals from the Attorney General for the sale of the facility, the dissolution of the organization and the distribution of the sale proceeds to an affiliated charitable organization.
  • Acted as structuring and bond counsel to a Local Development Corporation in a $30,000,000 transaction which involved the issuance of bonds to finance public infrastructure improvements to support the development of a 1,200-unit housing project.

Retail/Hospitality

  • Represented large hospitality company in all aspects of its business, including the acquisition and divestiture of hotel properties in the United States and Canada, negotiation of concession agreements with the National Park Service and negotiation of national contracts with major vendors and suppliers.
  • Negotiated slot placement agreements for Pervasive Gaming Operations, LLC throughout the United States, Canada, Mexico and Argentina.

Technology

  • Represented a publishing and digital media company in its acquisition by tender offer of a publicly-traded company in a transaction valued at over $450 million.
  • Representation of publicly-traded Internet information and services  company and its subsidiaries in multiple acquisitions of various Internet, gaming, health and other technology companies and websites.
  • Provided U.S. legal representation for a leading financial data and analytics platform in its acquisition of a financial data aggregation and analytics platform provider for the India and Asia market.

Veterinary

  • In our capacity as general counsel to a large veterinary aggregator, handled the $80 million private equity roll up of practices in 12 states across the nation.  At the time, this transaction was widely considered the most significant aggregation of practices within the industry.
  • Advised national veterinary practice franchisor in connection with regulatory issues related to ownership and operation of veterinary franchises in all fifty states.
