Chris is a member of the Harris Beach Management Committee.  

Public Finance

Chris has served as bond counsel, transaction counsel, initial purchasers counsel, underwriters counsel, bank counsel, liquidity provider counsel and borrower counsel for a variety of tax-exempt and taxable bond financings, and project financings. Chris structures and closes transactions under the New Markets Tax Credit program and helps organizations obtain the tax credits. His public sector experience includes financings for public infrastructure; stadiums; colleges, universities and other section 501(c)(3) organizations; private and public schools; low-income housing facilities; and manufacturing facilities.

Chris has been actively involved with infrastructure projects in a variety of industries, including energy, solid waste management, water and wastewater facilities, and sports and entertainment venues.  In this regard, he has represented numerous developers, lenders, and governmental entities in the development, contracting and financing aspects of the projects.  He provides assistance in connection with industrial development agency sale-leaseback transactions.

Corporate

Chris provides general corporate counseling to businesses and financial institutions.  His experience includes securities work including preparing blue sky memoranda, conducting due diligence and legal research with respect to various corporate, tax, real estate and public finance matters, and assisting companies with their business and transactional needs.

Chris served as Director of Operations (1995-1997) and as Deputy County Executive (1998-2002) in the Office of the Albany County Executive.  As deputy county executive, he acted as the chief operating officer for the county government.  In 1997, Chris served as the secretary to the Senate Minority Conference of the New York State Legislature.

Public Finance

  • Acted as Bond Counsel to a Local Development Corporation issuing $110,000,000 of bonds used to fund the construction of public infrastructure improvements to support the development of an integrated lifestyle resort consisting of the construction and equipping of a (i) casino, a hotel and an entertainment complex, (ii) facility with multiple restaurants, entertainment options and resort-style retail space, (iii) guest lodge accommodations and an indoor waterpark  and (iv) the redesign and improvement of an existing golf course. The structure of this financing was unique to New York and developed by our firm.
  • Represented an Underwriter in a public offering of approximately $50,000,000 in Bonds used to fund a Continuing Care Retirement Community’s refinancing of existing indebtedness and the construction and equipping of additional improvements to its facility.
  • Developed a proprietary, cost-effective method for preparing Blue Sky memorandum, required forms and completing filings. Work with underwriter counsel across the country to efficiently prepare significant volume of Blue Sky surveys annually.
  • Acted as Bond Counsel to a Municipal Housing Authority issuing $6,000,000 in Bonds used to finance the renovation of a senior affordable housing project.
  • Represented a corporation in connection with a transaction involving the use of approximately $70,000,000 in New Market Tax Credits.
  • Represented an Urban Development Corporation and Industrial Development Agency in connection with preparing a response to an audit of its operations by a Regulatory Authority.

Corporate

  • Represented an electric generating company in connection with a transaction in which it offered to exchange existing notes for new notes. In addition, the transaction included a consent solicitation to amend the Indenture governing the issuance of the notes to allow for a distribution to its shareholders. Represented the client in all facets of this transaction and prepared all of the consent solicitation documents, notes and amendments to existing documents. The exchange offer related to approximately $93,000,000 of existing notes and the distribution was in the amount of approximately $7,500,000.
  • Represented a recycling company in a $2,000,000 acquisition of the assets of a competitor.
  • Acted as structuring and bond counsel to a Local Development Corporation in a $30,000,000 transaction which involved the issuance of bonds to finance public infrastructure improvements to support the development of a 1,200-unit housing project.
  • Represented a power transmission client in connection with the execution and delivery of an Asset Purchase Agreement relating to the purchase of all plans and specifications related to the development of a component in the construction of a new power transmission line in New York to alleviate the power needs in downstate New York.
