René, Wesley M.

Wesley M. René is an associate on our Corporate practice group team. He has broad experience with industry, tax and financial services matters. Wesley earned a dual degree in marketing and finance from Syracuse University. During law school, he worked with Ayco, a Goldman Sachs Company, and ePour Technologies, a Maryland-based start-up, and served as a teaching assistant. Outside of law school, he has worked as a marketing manager for a Rochester-based beverage importer. While at Syracuse University, Wesley captained the school’s men’s hockey team.

Represented clients selling all of their stock in a water treatment company for over $15,000,000. Assisted with drafting stock purchase agreement, conducting due diligence, and negotiating and drafting employment agreements in connection with transaction.
Counsel publicly-traded, Fortune 500 company in connection with maintaining state and national regulatory compliance when publishing insurance product advertisements.
Represented clients selling all of their stock in a regional transportation company for $13,000,000. Assisted with drafting stock purchase agreement, conducting due diligence, and negotiating and drafting ancillary agreements in connection with transaction.
Act as associate corporate counsel for top five flavored malt beverage supplier in the United States. Draft and negotiate distribution agreements, vendor agreements, licensing agreements and marketing agreements.
Represented client selling the assets of an automotive marketing company for over $3,000,000. Assisted with drafting asset purchase agreement and conducting due diligence in connection with transaction. Additionally assisted majority owner in drafting and negotiating employment agreement, restrictive covenant agreement and profits interest award agreement related thereto.
Counsel publicly-traded company in the food and beverage industry in connection with general corporate matters. Draft and negotiate distribution agreements for distribution partners, supplier agreements for raw materials, licensing and manufacturing agreements, product development agreements, and marketing agreements.
Represented client buying out other member’s interest in pharmaceutical company. Subsequently drafted amended and restated operating agreement of company and assisted company with obtaining veteran-owned small business certification.
Represented client selling the assets of a farming business for over $3,000,000. Drafted and negotiated asset purchase agreements and financing agreements in connection with transaction. Additionally assisted client in negotiating a consulting agreement related thereto for over $500,000.
Advises professional corporations in connection with foreign-state formation requirements and general compliance with professional entity regulations and regulations governing the provision of professional services in several states.
