Jeremy assists new, emerging and established businesses with all aspects of corporate and commercial real estate transactions relating to their on-going business operations and strategic initiatives. He has extensive experience in counseling businesses and developers with commercial real estate acquisitions, complex land use transactions and lease negotiations. Jeremy received a Masters of Law in Taxation (LLM) and evaluates the tax aspects of business formations, transactions and succession plans.  His clients include manufacturers, national developers, closely-held and family-owned businesses, start-ups and technology companies.

Representative Matters

  • Represented energy developer in the negotiation of a ground lease for an existing 55-mile utility right-of-way to construct and develop a new 345 kV transmission line and related substation facilities and related asset purchase agreement to acquire existing transmission line equipment within the right-of way, secure temporary construction access and obtain easement rights to various substation facilities.
  • Represented client selling a plumbing and heating supply business and affiliated distribution business to a nation-wide building products company. Coordinated regulatory and tax issues and approval of transaction by ESOP counsel.  Negotiated leases and options to purchase for multiple business locations.
  • Represented equipment dealer in connection with the sale of the business including tax planning for stock purchase structure, personal goodwill and deferred compensation issues, negotiation of a lease agreement and resolution of certain environmental compliance obligations.
  • Represented client with the acquisition of multiple roof-mounted solar systems including negotiation of a construction contract to complete build-out of systems, a security agreement to secure payment of past-due payables from the customer and a subordination agreement with lender to obtain consent to the transaction and second position security interest.
  • Represented not-for-profit organization in connection with the sale of a senior housing facility. Coordinated various federal and state regulatory approvals for the prepayment of the existing HUD loans.  Obtained approvals from the Attorney General for the sale of the facility, the dissolution of the organization and the distribution of the sale proceeds to an affiliated charitable organization.
  • Represented client with the equity restructuring of its manufacturing business and affiliated real estate holding companies.  Simultaneously closed on line-of-credit financing and mortgage refinancing for the client’s 410,100 square foot manufacturing facility.
  • Represented sand and gravel business in the acquisition of a mine, port facility and related parcels and negotiation of an easement agreement for access to the port facility.
  • Represented energy developer in the negotiation of an asset purchase agreement to acquire substation facilities adjacent to an existing utility right-of-way.  Simultaneously negotiated series of agreements for temporary access, construction and operation of shoofly and related switches and access for utilities to substation facilities.
